Strategy puts a 12% daily STRC dividend to a common shareholder vote on October 28
Strategy has conditionally declared daily STRC dividends at a 12% rate for November, if common stockholders approve an amendment on October 28. Either way the November total is $1.00 a share, so the vote moves the payment calendar and nothing else.
The Investor · Invest desk

Three figures: STRC's November dividend totals $1.00 per share. The current semi-monthly payment is $0.50 per share, which adds up to the same $1.00. Spread evenly over a 30-day November, the total is about $0.033 a day.
| Figure | Value | Note | Claim |
|---|---|---|---|
| November STRC dividend total | $1 per share | 2 | |
| Semi-monthly payment now | $0.5 per share | 8 | |
| Per day, about, spread evenly over 30 days | $0.033 per day | about 3.3 cents a day | 14 |
What happened
- A second condition sits behind the vote: the amended certificate must be filed by November 1, and Strategy expects the first daily payment on November 2 if both conditions are met.
- STRC now pays $0.50 a share semi-monthly; those payments are suspended if the amendment passes and keep running if it fails.
- A preliminary proxy filed on September 25 asked shareholders to back daily accruals for STRC and for three other preferred series.
- STRC has traded under its $100 par since May 2026 and fell to a low of $71 in June.
- Strategy expects the dividends, if declared, to be treated as non-taxable returns of capital up to each holder's tax basis.
Why it matters
- What it limits constraint The schedule has four days of slack between the vote and the filing deadline, so a late filing would put the November 2 start date at risk.
- Who has to decide decision Strategy is leaving the 12% rate alone and adjusting only the calendar; any rate change waits until STRC trades stably near $100.
- Who's exposed exposure Holders who receive return-of-capital payments see their cost basis fall with each one, and the tax treatment changes once the basis runs out.

The vote is about timing. Two payments of $0.50 a month sum to $1.00 [8], and so would thirty daily payments of about 3.3 cents [14] against the same $1.00 November total [2]. Over twelve months that is $12 a share, or 12% of the $100 par value [13].
Par is the base for the coupon; a buyer's yield depends on the price paid. At the June low of $71 [7], the same $12 a year is a 16.9% cash yield [15], and the shares have been under par since May [7].
Strategy's stated plan is to hold the 12% rate until STRC trades stably around par, and only then consider any change to it [6]. That leaves the payment calendar as the one term it is adjusting. It already made one such move, from monthly to semi-monthly payments in mid-2026, to improve liquidity and trading efficiency [10]. Crypto Briefing's account gives no price after June and dates that move only to mid-2026, so the effect of the first step cannot be read off.
We think daily payments are a weak lever on a discount of this size. The June low was 29% under par [16], and a schedule change shifts when $1.00 arrives by days within a month. The counter-thesis is the company's own: it chose a higher payment frequency once for liquidity and trading efficiency [10] and is choosing it again. Repeating the choice may mean the first step worked.
We would be wrong if STRC closes toward $100 after November 2 with the rate still at 12%. Strategy would be wrong if the shares are still under par a month into daily payments, because the rate would then be the only term left to change, and the company has said that conversation comes after the price steadies [6].
What to watch
- The October 28 vote result, and whether Strategy files the amended certificate by November 1.
- STRC's price against $100 par in the weeks after a first daily payment on November 2.
- Whether Strategy extends daily accruals to the three other preferred series named in the September proxy.
