Cohere signs the Aleph Alpha merger while conceding its models trail OpenAI and Anthropic

Cohere signed its combination with Aleph Alpha on September 16 and still needs regulatory approval. The numbers on the record are a 500 million euro pledge from Schwarz Group to lead a Series E reported at $2 billion to $3 billion.

What happened

  • Cohere and Aleph Alpha announced a signed definitive business combination agreement on September 16, five months after announcing the plan, and the transaction still needs final regulatory approvals.
  • The combined company will operate as Cohere with more than 1,000 employees across two continents, dual headquarters in Berlin and Toronto, and Aleph Alpha's Heidelberg office kept as a research centre.
  • On completion, Aleph Alpha co-CEO Ilhan Scheer becomes Cohere's COO and co-founder Samuel Weinbach becomes chief research officer, with the close expected later this year.

Why it matters

  • What it limits constraint Gomez has committed to buying compute in Canada and Germany as far as he can, so the model scale-up is bounded by the capacity those two markets build rather than by what the round can buy anywhere.
  • What it costs cost Mistral's 21 billion euro post-money mark is now the reference price for the same sovereign pitch, and Cohere has to sell its Series E to investors who can see that comparison.
  • What doesn't add up contradiction The companies call this a merger while a source told BetaKit that Cohere is buying Aleph Alpha, and the two descriptions imply different answers on who controls the combined entity after close.
  • What it sets up precedent Schwarz Group is shareholder, pledged lead investor and, via STACKIT, the cloud underneath the product. Other European sovereign-AI vendors can now point at that funding template.

Cohere used to argue it could sell smaller systems than its Silicon Valley rivals because it focused on business applications and customised the technology for each client. The bet was that more parameters did not automatically mean better performance [12]. Gomez now says "Cohere is currently scaling up our models dramatically" [11]. He was direct about why. The models are not as capable as those of the frontier labs, particularly on coding and cybersecurity [9]. "There's a gap today, and we want to work to close that," he told The Logic [10].

Aleph Alpha brings staff who know the European market and a client base in the German public and private sectors, and it now primarily sells sovereign software and services while Cohere makes its own models [13]. Compute is a separate bill. "We're investing heavily in compute," Gomez said. "We're trying to do that as much as we can in Canada and in Germany." [20] He cited Cohere's deals with Bell and STACKIT [21].

Cohere did not disclose financial terms [18]. On the record are the roughly $20 billion USD the Financial Times reported in April for the joint entity [29] and Schwarz Group's pledge of 500 million euros to lead an upcoming Series E [6]. The Globe and Mail reported that the round is nearing $2 billion to $3 billion USD [7]. Mistral, the only other leading lab based outside the US and China [8], raised 3 billion euros last week at a 21 billion euro post-money valuation [19]. That makes Schwarz's pledge one sixth of what Mistral just took in [22]. In the Canadian dollars BetaKit used for both figures, Mistral's post-money mark of $33.7 billion sits about $6.7 billion above the $27 billion attached to Cohere and Aleph Alpha [23]. One is a September post-money number and the other an April mark taken before a round, so that spread flatters Mistral.

Scheer's brief as COO is "leading the company's global operating model and organizational scaling" [4]. The work is integration: more than 1,000 people, headquarters in both Berlin and Toronto, and Heidelberg retained as a research centre [3], while the research organisation is being asked to make the models bigger. Schwarz Group is simultaneously an Aleph Alpha shareholder, the pledged lead of the next round [6] and, through Schwarz Digits, the operator of STACKIT, the sovereign cloud the product is to run on [5]. "Digital sovereignty is not about going it alone, but about strategically joining forces," Schwarz Digits CEO Christian Mueller said [25].

In my view the German client base is worth more here than the model. Cohere lets clients run its models and its North agent-builder on their own infrastructure and says it cannot use their data for training [14]. The buyers who need that arrangement include Royal Bank, Bell, Thales, Calian, federal government departments and intelligence agencies [15]. The counter-thesis is Gomez's own, and he states it more strongly than the customer-list reading does: "Our tech stack serves their purposes better than what anyone else can offer, including OpenAI and Anthropic," he said [16].

The Series E settles which reading is right. Priced near the top of the $2 billion to $3 billion range, Cohere funds the scale-up, and Weinbach's answer on stage at ALL IN holds up. Asked whether the combined company can be a true rival to OpenAI and Anthropic, he said yes, and added, "That's why we're joining forces." [27] Priced near the bottom, or with the regulatory approvals pushing the close past this year [1], the company spends its next year merging two organisations across two continents on a budget led by its own cloud partner.

What to watch

  • Whether the closing documents describe a merger of equals or Cohere acquiring Aleph Alpha, and whether any price is disclosed.
  • Where new compute capacity actually lands, given Gomez's commitment to Canada and Germany and the STACKIT partnership.
  • Whether the scaled-up models ship with measurable gains in coding and cybersecurity, the two areas Gomez named as behind.
